Many see a share of stock simply as a representation of an investment; but, in fact, it is a title to the ownership in a company. Most shareholders have been content to let corporate officers and directors run their companies for them, but growing numbers of shareholders have decided they want to have a say in what companies do and how they are managed. Schwartz, an investment manager who runs his own company, documents what heretofore have been skirmishes but what he predicts will become full-scale rebellion. He reports how shareholders have ousted top executives at major companies, and he offers tactics on the use of proxy contests. Schwartz also shows how SEC regulations have recently changed in favor of the shareholder and recommends how to take advantage of those changes.
